Paralegal II – Corporate

This position is based in the New York office and offers a hybrid schedule.
A leading global law firm is seeking an experienced Corporate Paralegal (Paralegal II) to support attorneys and senior paralegals across all phases of corporate and finance transactions.
Key Responsibilities
- Assist attorneys in managing corporate and finance transactions from inception through closing, including checklists, deliverable trackers, closing binders, and execution‑ready documents.
- Draft initial forms and documentation for corporations, LLCs, and various business entities.
- Prepare and file formation documents, foreign registrations, EINs, and entity maintenance materials.
- Organize minute books and corporate records, including board minutes, resolutions, shareholder records, capitalization tables, and stock ledgers.
- Create and maintain equity management files (Carta, Shareworks, Diligent, etc.).
- Support M&A transactions, securities offerings, restructurings, and other corporate matters.
- Conduct onboarding review of corporate and transactional documentation for new clients.
- Maintain and protect confidential and privileged information with professionalism.
Required Qualifications
- Bachelor’s degree or equivalent.
- Paralegal certificate (ABA‑approved) or signed declaration (as applicable).
- Minimum 4 years of corporate paralegal experience within a law firm.
- Strong knowledge of state corporate laws and federal/state securities regulations.
- Excellent interpersonal and communication skills.
- Ability to work effectively within a collaborative, client‑focused team environment.
